1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and Providence Photo Llc, concerning your access to and use of our photography and videography services for weddings, proms, and graduations. By booking our services, accessing our digital galleries, or using our website, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using our services and must discontinue use immediately.

2. Service Usage and Intellectual Property Rights

Unless otherwise indicated, Providence Photo Llc retains all ownership and intellectual property rights to the original media produced, including raw files and edited photographs or videos. Clients are granted a non-exclusive, non-transferable license to use the delivered media for personal, non-commercial purposes. Any use of the media must respect the following restrictions:

  • You may not sell, lease, or use the media for commercial advertising or third-party promotional purposes without a separate commercial licensing agreement from Providence Photo Llc.
  • You are prohibited from applying heavy filters, cropping out watermarks (where applicable), or otherwise altering the artistic integrity of the final delivered media in a way that misrepresents our professional work.
  • You may not claim the media as your own creation or provide the media to other vendors (e.g., florists, venues) for their professional use without providing proper credit to Providence Photo Llc.

3. Disclaimer and Limitation of Liability

Our services are provided on an 'AS IS' and 'AS AVAILABLE' basis. Providence Photo Llc makes every effort to capture high-quality media; however, we are not liable for missed shots due to event delays, weather conditions, or equipment failure beyond our reasonable control. To the fullest extent permitted by law, Providence Photo Llc shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim arising out of our services is limited to the total amount paid by the client for the specific event in question.

4. Governing Law, Modifications, and Contact

These Terms and Conditions and your use of our services are governed by and construed in accordance with the laws of the state in which Providence Photo Llc is registered, without regard to its conflict of law principles. Any legal action or proceeding related to these terms shall be brought exclusively in the courts of that jurisdiction.

We reserve the right to change or modify these Terms and Conditions at any time for any reason. We will alert you about any changes by updating the 'Effective Date' of these Terms.
